Registration, taxable income and Small Business Relief are separate questions. A business can have little or no tax payable and still have registration or filing obligations.
- The FTA currently states that late Corporate Tax registration can attract an AED 10,000 administrative penalty.
- A natural person conducting business in the UAE generally enters the registration analysis when annual business revenue exceeds AED 1 million; salary and specified personal investment and real-estate investment income are excluded from that revenue test.
- Eligible UAE Resident Persons with revenue not exceeding AED 3 million in the relevant and all previous tax periods may elect for Small Business Relief for qualifying periods ending on or before 31 December 2026.
- Small Business Relief is an election made in the Tax Return; it does not automatically remove registration and filing requirements.
1. Who needs to think about Corporate Tax registration?
UAE juridical persons that are subject to Corporate Tax must register with the Federal Tax Authority within the prescribed timelines. The correct deadline depends on the person and the applicable FTA decision, so the licence, incorporation date and tax period should be checked rather than relying on a general date.
For a natural person, Cabinet Resolution No. 49 of 2023 links the rule to business or business-activity revenue exceeding AED 1 million in a calendar year. Salary, personal investment income and real-estate investment income falling within the official definitions are excluded from this test.
2. Small Business Relief is not the same as the 0% tax band
The ordinary 0% rate on taxable income up to the statutory threshold and Small Business Relief are different parts of the Corporate Tax regime. Small Business Relief can treat an eligible person as having no taxable income for the elected period and simplify parts of the return.
The current relief uses a revenue test of AED 3 million or less for the relevant tax period and all previous tax periods. It is not available to a Qualifying Free Zone Person or a member of a large multinational group described by the FTA.
3. What should a small business check before filing?
Revenue, taxable income and accounting profit are not interchangeable. The business should reconcile its financial records, identify its legal form, confirm its tax period and review whether any free-zone, related-party or transfer-pricing rules apply.
- Confirm whether the entity or natural person must register.
- Check the correct registration and return deadlines.
- Review revenue for the current and every earlier relevant tax period before electing for Small Business Relief.
- Keep supporting records even where relief is claimed.
- Do not artificially split one business to stay below a relief threshold.
4. Late registration and the current waiver initiative
The FTA’s current registration service page states that late registration carries an AED 10,000 penalty. It also describes an initiative under which eligible persons may obtain a waiver by submitting the first Tax Return, or applicable annual declaration, within seven months from the end of the first tax period or financial year.
Eligibility should be checked against the current FTA requirements before assuming that a penalty will be waived or refunded.
